Terms of service
Version 2026-10-26 · Operator: Capital Market Laboratories, LLC, a California limited liability company.
PLEASE READ THE ARBITRATION AND LIABILITY SECTIONS. Except as stated in section 11, disputes must be resolved through individual binding arbitration rather than a jury trial or class action. These terms also limit warranties and recoverable damages, subject to rights that the law does not allow you to waive.
1. Agreement, eligibility and authority
These Terms of Service form an agreement between you and Capital Market Laboratories, LLC (“Company,” “we,” “us”) for AdOrchestrator, its applications, reporting and related services (“Service”). If you act for a business, you represent that you have authority to bind it; “you” includes that business. You must be at least 18, provide accurate information, verify your email and affirmatively accept these terms to create an account. The version accepted and the acceptance time are recorded. Our Privacy Policy explains our information practices.
2. Accounts and security
Keep access to your verified email and devices secure. Do not share verification codes, impersonate others, bypass restrictions or give unauthorized people access. Notify us promptly of suspected compromise. You are responsible for activity you authorize and for maintaining appropriate permissions for employees, contractors and connected advertising accounts. We may suspend access reasonably necessary to investigate abuse, protect the Service, comply with law or address a material breach.
3. Trial and future subscriptions
A new eligible account receives a 90-day free trial beginning when its email is successfully verified. One trial is available per eligible user or business, subject to reasonable abuse controls. No credit card is required. The trial does not automatically become a paid subscription, and we will not charge you merely because it ends. Meta advertising spend and third-party fees are separate and remain your responsibility. At trial end, trial-only access may pause. Any paid plan requires a separate affirmative purchase with the price, term, renewal and cancellation conditions shown before purchase. We may change future offers without reducing an already granted trial except for misuse or breach.
4. Service scope and advertising decisions
The Service helps organize and explain advertising information. Reporting depends on Meta, attribution models, sync timing, source quality and your configuration; it may be delayed, approximate, incomplete or unavailable. Insights and recommendations are informational and are not legal, financial or professional advice, an instruction to spend, or a guarantee of accuracy, sales, savings, profits or return on ad spend. You must independently evaluate budgets, targeting, content and business decisions. Current live Meta connections are view-only. Demo editing and publishing affect sample data. If live write features become available, they require appropriate authorization and applicable terms; this agreement does not itself enable them.
5. Meta and third-party services
We are independent of Meta Platforms, Inc. Meta’s terms and policies apply separately. You authorize us to access only accounts and information you have the right to connect and to process that information to provide the requested Service. Third parties may change APIs, permissions, pricing, availability or policies, restrict accounts or revoke access. We do not control their actions or guarantee continued interoperability. Revoking access may prevent reporting and does not by itself erase retained data. You remain responsible for your ads, advertiser obligations and amounts owed to Meta.
6. Acceptable use and your materials
Do not use the Service unlawfully, upload malicious code, seek unauthorized access, interfere with operations, evade trial or security controls, scrape beyond permitted use, reverse engineer except where mandatory law permits, resell without written permission, or infringe intellectual property or privacy rights. Do not submit sensitive personal information, regulated health data, payment card details or information you lack permission to share. You retain your rights in your materials and grant us the limited rights necessary to host, process, display and transmit them to operate, secure and support the Service. You represent that the required permissions and lawful bases exist.
7. Ownership, confidentiality and feedback
The Company and its licensors retain rights in the Service, software, interface, methods, trademarks and documentation. During authorized use we grant you a limited, nonexclusive, nontransferable right to access the Service for your business. Each party will use reasonable care with the other’s nonpublic confidential business information and use it only for this relationship, subject to lawful disclosure and information independently known, developed or publicly available without breach. Feedback may be used without restriction or compensation, excluding your confidential information and personal information governed by the Privacy Policy.
8. Warranties and risk allocation
TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NONINFRINGEMENT, ACCURACY OR CONTINUOUS AVAILABILITY. We do not warrant that the Service will be uninterrupted, error-free, free from unauthorized access or suitable for any particular advertising decision. You should maintain your own records and verify material decisions. These disclaimers do not exclude mandatory warranties or duties imposed by law, including applicable data-security and breach-notification duties.
9. Limitations of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY AND ITS AFFILIATES, MEMBERS, MANAGERS, OFFICERS, EMPLOYEES AND SUPPLIERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES; LOST PROFITS, REVENUE, GOODWILL, OPPORTUNITY OR ANTICIPATED SAVINGS; ADVERTISING LOSSES; OR LOSS OR CORRUPTION OF DATA, WHETHER IN CONTRACT, TORT OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY.
SUBJECT TO THE EXCEPTIONS BELOW, OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF US $100 OR THE FEES YOU ACTUALLY PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE FIRST EVENT GIVING RISE TO THE CLAIM. DURING A FREE TRIAL, THAT CONTRACTUAL CAP IS US $100. RELATED CLAIMS SHARE ONE AGGREGATE CAP.
These exclusions and the cap do not apply to fraud, willful misconduct, gross negligence, death or personal injury to the extent liability cannot lawfully be limited, or any statutory remedy, privacy right, security duty or other liability that applicable law prohibits us from excluding or limiting. They do not restrict nonwaivable relief or authorize unlawful conduct. If a limitation cannot be enforced, it applies only to the maximum lawful extent. The parties acknowledge this allocation as part of the basis for offering the Service, including the free trial.
10. Business indemnity
To the extent permitted by law, business customers will defend and indemnify the Company against third-party claims and reasonable costs arising from their unlawful advertising content, infringement by materials they supply, lack of authority to connect accounts, or material misuse of the Service. This obligation does not cover claims caused by the Company’s fraud, willful misconduct, gross negligence, breach of law or other conduct for which indemnity is prohibited. We will provide prompt notice, reasonable cooperation and control of the defense subject to our right to participate. No settlement may impose an admission or nonmonetary obligation on us without consent, not unreasonably withheld.
11. Binding individual arbitration; class-action and jury waiver
EXCEPT FOR THE EXCEPTIONS IN THIS SECTION, YOU AND THE COMPANY AGREE TO RESOLVE DISPUTES ARISING FROM THE SERVICE, THESE TERMS OR OUR RELATIONSHIP THROUGH BINDING INDIVIDUAL ARBITRATION. BOTH PARTIES WAIVE TRIAL BY JURY AND PARTICIPATION AS A PLAINTIFF OR CLASS MEMBER IN A CLASS OR REPRESENTATIVE ACTION TO THE EXTENT LAWFUL. The Federal Arbitration Act governs this arbitration agreement.
Before filing, send a written notice describing the dispute and requested relief to the legal contact below; we will send our notice to your account email. Both parties will attempt in good faith to resolve it for 30 days. This process does not bar urgent relief, impose an in-person meeting, shorten a legal limitation period or prevent a timely filing to preserve rights.
Arbitration will be administered by the American Arbitration Association (“AAA”) under its applicable Commercial Arbitration Rules or, when applicable, Consumer Arbitration Rules and Consumer Due Process Protocol, including applicable mass-arbitration rules. Rules and filing instructions are available at adr.org. A single neutral arbitrator will issue a reasoned written award and may grant all individual remedies required by applicable law. Legally available statutory remedies and fee awards remain available. Consumer fees, hearing access and the Company’s payment obligations will follow mandatory law and applicable AAA consumer standards. Neither party must pay fees that would make this agreement unenforceable. A remote hearing is available by agreement or applicable rules; otherwise the hearing will be at a reasonably convenient location under those rules, including your county of residence when required.
Either party may bring an eligible individual case in small claims court. Either may seek temporary court relief to preserve the status quo pending arbitration. Government complaints and enforcement, claims that cannot legally be arbitrated, and nonwaivable public injunctive relief remain available in the proper forum. Nothing waives a right to elect court proceedings under the Ending Forced Arbitration of Sexual Assault and Sexual Harassment Act where it applies. A court decides whether this arbitration agreement exists or is enforceable and whether the class-action waiver is enforceable; other procedural issues follow applicable law and AAA rules.
No claim will proceed as a class arbitration without the express post-dispute written consent of both parties. If a court finds the class-action waiver unenforceable for a particular claim or remedy, that claim or remedy proceeds in court and is severed; remaining arbitrable claims remain in individual arbitration to the extent lawful. If AAA is unavailable or declines administration, a court may appoint a neutral administrator or arbitrator under the Federal Arbitration Act only if lawful and consistent with required protections; otherwise either party may proceed in court. Nothing in this section blocks required public relief or eliminates substantive nonwaivable rights.
12. Governing law, courts and operator relocation
California law governs these terms without its conflict-of-law rules, subject to the Federal Arbitration Act and mandatory protections of your jurisdiction. For disputes properly in court, the parties consent to courts with jurisdiction in the California county of the Company’s principal office, except where mandatory law, small claims rules or consumer protections require another forum. The Company’s anticipated relocation to Arizona does not itself change the governing law or transfer your agreement. Any successor or permitted assignment remains subject to existing obligations. A proposed governing-law or arbitration change requires prospective notice and any consent required by law; it will not retroactively alter an accrued dispute.
13. Suspension, termination and data
You may stop using the Service and request account closure at any time. We may terminate for material breach, unlawful use or discontinuation of the Service, providing notice and an opportunity to export available data when reasonably practicable. We may act immediately where necessary for security or legal compliance. Retention and deletion remain subject to the Privacy Policy and law. Ownership, accrued payment obligations, lawful confidentiality, warranty disclaimers, liability limits and dispute terms survive termination as applicable.
14. Changes and general terms
We may make prospective changes and will give reasonable notice of material changes through the Service or your account email. Material changes to arbitration or liability terms require renewed affirmative acceptance where required; posting alone does not retroactively bind you to them. If a provision is unenforceable, the lawful remainder survives subject to section 11. A failure to enforce is not a waiver. Neither party is responsible for delays beyond reasonable control except obligations that law does not excuse. You may not assign without consent except to a lawful business successor; we may assign in a merger, reorganization or sale subject to applicable law and existing obligations. These terms and any expressly incorporated purchase terms constitute the agreement for the Service. Mandatory law controls over conflicting language.
